The #BrookfieldPropertiesCooks Contest (the “Contest” or the “Promotion”) starts September 1, 2020 at 10:00:00 am. Eastern Time (“ET”) and ends September 30, 2020 at 11:59:59 p.m. ET (“Promotion Period”).

Eligibility:

Promotion is open to legal residents of the United States who reside in Connecticut, New Jersey and New York who are physically located and residing therein and who are 18 years of age or older. Employees, officers, and directors of the Brookfield Place Properties (“Sponsor”) and Maiden+John (“Administrator”) and their respective parents, subsidiaries, affiliates, promotion, related companies, agencies, and agents and members of their immediate family (defined as spouse, parent, sibling or child, and their respective spouses, regardless of where they reside) and persons living in the same household of such employees, officers, and directors whether or not related, are not eligible to enter or win. Void outside of Connecticut, New Jersey and New York and where prohibited by law.

Promotion is subject to all applicable federal, state and local laws. By participating, you agree to abide by these Official Rules and the decisions of Administrator, which are final and binding in all respects.

How to Enter:

During the Promotion Period, follow the Brookfield Place New York page on Instagram @BFPLNY (if you have not done so already). Then, post an original photo to your Instagram feed of a cookbook recipe that you have cooked, using the designated hashtag #BrookfieldPropertiesCooksContest in the caption of your post to receive one (1) entry (each, an “Entry”).

An Instagram account can be opened for free at Instagram.com. When you join Instagram, you are indicating that you have read and agree to accept the Instagram Terms of Service and Privacy Policy. If you already have an Instagram account, you will have to sign into your account to upload a photo. Entries will not be acknowledged or returned. All Entries must be posted between September 1, 2020 at 10:00:00 a.m. ET and September 30, 2020 at 11:59:59 p.m. ET to be eligible. Instagram accounts must be made public in order for entries to be eligible.

  • Limit one (1) entry per person using only one (1) Instagram account per day. For purposes of these Official Rules, a day is defined as any twenty-four (24) hour period during the Promotion Period beginning at 12:00:00 a.m. ET and ending at 11:59:59 p.m. ET. Multiple entries received from any person or Instagram handle in excess of the stated limitation will be void.

Any attempt by any individual to exceed the above-indicated entry limit by using multiple/different email or IP addresses, identities, or any other methods, will void all of that individual’s entries and that individual will be disqualified. Use of any automated program or like means to submit an entry will result in disqualification. Sponsor, Administrator, Instagram and their respective agencies are not responsible for inaccessible, corrupted, misdirected, incomplete or invalid submissions, all of which are void and will not result in contest entry. Proof of transmission of completed entry does not constitute proof of receipt of same or proof of entry in contest. In the event of dispute as to the identity or eligibility of a potential winner who entered via posting a photo, the winning entry will be declared made by the “Authorized Account Holder” of the Instagram account used to enter the contest provided he/she is eligible according to these Official Rules. The “Authorized Account Holder” is defined as the natural person who is assigned to a Instagram account by www.Instagram.com.

Use of a mobile device to submit photo/entry may result in the imposition of fees or charges by your wireless carrier. You are therefore advised to consult your wireless rate plan PRIOR TO using a mobile device to submit your photo/entry.  Wireless internet access and/or text messaging capacity is not available on all mobile devices or wireless carriers or in all areas. If you choose to upload using your mobile phone, standard text messaging and data fees for messages sent and received may apply to use of mobile device for contest entry.

Requirements of Entries:

Entry may not contain, as determined by the Sponsor, in its sole discretion, any content that:

  • is sexually explicit or suggestive; violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic;
  • promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing);
  • promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;
  • is obscene or offensive; endorses any form of hate or hate group;
  • defames, misrepresents or contains disparaging remarks about other people or companies;
  • contains trademarks, logos, or trade dress owned by others (excluding those of Sponsor which will be permitted);
  • contains any person or any personal identification such as personal names or e-mail addresses;
  • contains copyrighted materials owned by others;
  • contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead; or
  • violates any applicable law.

The Sponsor reserves the right to reject any Entry which Sponsor determines, in its sole and absolute discretion, does not meet the above criteria or is otherwise offensive or is not in keeping with the Sponsor’s image and reputation. Sponsor reserves the right to remove any Entry without prior notice.

Entry must be the original work of the entrant, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the Entry contains any material or elements that are not owned by the entrant, and/or which are subject to the rights of third parties, the entrant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person or any third-party who is identifiable in an Entry. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any entrant at any time. Failure to provide such proof may, if requested, render Entry null and void. By submitting an Entry entrant warrants and represents that he/she and the person or third-party who is identifiable in the Entry consent to the submission and use of the Entry in the Contest and to its use as otherwise set forth herein.

By submitting an Entry, entrant hereby grants permission for the Entry to be posted on the @BFPLNY Official Instagram or other websites and used in press materials. Entrant agrees that Released Parties (as defined below) are not responsible for any unauthorized use of Entries by third parties. Sponsor and Administrator do not guarantee the posting of any Entry and may remove a posted Entry at any time.

POSTED ENTRIES REPRESENT SOLELY THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS/OPINIONS OF BROOKFIELD PLACE OR THE ADMINISTRATOR IN ANY MANNER. THE SPONSOR AND THE ADMINISTRATOR EACH EXPRESSLY DISCLAIM ANY LIABILITY UNDER ANY LEGAL THEORY IN CONJUNCTION WITH MONITORING, MODERATING OR SCREENING ENTRIES.

License/Use of Entries:

Subject only to the rights reserved by Instagram as operator of its social network, by submitting an Entry, and to the extent allowed by law, entrant grants to Sponsor and its designees (including Administrator) the non-exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sublicensable right and license to use, edit, modify, cut, rearrange, add to, delete from, reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, adapt, use, reuse, perform, exhibit, reproduce and/or otherwise exploit his/her Entry, name, photo, and biographical material including, but not limited to, all materials submitted in connection with the Contest in any and all media, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation to entrant or any third party. Entrant waives any “Moral Right of Authors” (Droit Moral) in the Entry.

Finalist Selection:

Administrator will select nine (9) photos from among all eligible Entries received during the Promotion based on the following judging criteria: 1) Originality (40%); 2) Creativity and Authenticity (40%); and 3) Adherence to Contest theme (20%). The nine (9) selected Entries will be deemed potential Semifinalists and proceed to the Semifinalist Voting Phase, as identified below.

Semifinalist Voting Phase: The nine (9) semifinalist Entries will be posted three (3) at a time on the @BFPLNY Instagram story for public voting from October 1, 2020 at 10:00 AM ET] to October 2, 2020 at [10:00 AM ET] (the “Semifinalist Voting Phase”). Individuals with an Instagram Account will be able to view the quarterfinalist Entries and vote for one (1) Entry based on the judging criteria above. Limit of one (1) vote per person/email address each day throughout the Semifinalist Voting Period.

The six (6) semifinalist Entries with the highest number of votes will be deemed potential finalists and proceed to the Finalist Voting Phase, subject to verification of eligibility and compliance with these Official Rules and confirmed tabulation of votes. In the event of a tie, a “tie-breaking” judge will identify the finalist(s) based on creativity.

Finalist Voting Phase: The six (6) finalist Entries will be posted on the @BFPLNY Instagram story for public voting from Friday, October 2, 2020 at [10:00 AM ET] to Saturday, October 3, 2020 at [10:00 AM ET] (the “Finalist Voting Period”). Individuals will be able to view the finalist Entries and vote for one (1) Entry based on the judging criteria above. Limit of one (1) vote per person/Instagram account each day throughout the Finalist Voting Period.

The three (3) finalist Entries with the highest number of votes will each be deemed a potential Grand Prize winner, subject to verification of eligibility and compliance with these Official Rules and confirmed tabulation of votes. In the event of a tie, a “tie-breaking” judge will identify the winner based on the judging criteria above. Sponsor reserves the right not to award the prize if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries.

Votes received from any person or email address in excess of the limitations stated above will be void. Semi/Finalists are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public and/or using any websites or online forums designed to induce individuals or provide other incentives to vote for their Entry, as determined by Sponsor in its sole discretion. All votes are subject to final verification by Sponsor. Use of script, macro or other automated system to vote or with the intent to impair the integrity of the voting process is prohibited and all such votes will be void.

Prize, Odds of Winning and Winner Notification:  Sponsor’s decisions are final and binding on all matters relating to this Contest. Three (3) potential winners will be notified by Direct Message (DM) from @BFPLNY to the account used for the Entry on or about October 3, 2020. Each potential winner may be required to sign and return an Affidavit of Eligibility, Liability Release and Publicity Release (unless prohibited by law) within ten (10) days of prize notification. If applicable, failure to comply with the Affidavit/Release requirement may result in disqualification and selection of an alternate winner. Failure to respond within three (3) days to the initial notification may result in disqualification and selection of an alternate winner. If the potential winner cannot be contacted, within the required time period, the potential winner forfeits such prize and an alternate winner may be selected.  If any eligible potential winner is deemed a minor under the laws of his/her state of residence, any requested documents must be signed by a parent or legal guardian and Sponsor reserves the right in its sole discretion to award the prize to or in the name of the parent or legal guardian of the minor.

Grand Prizes (3):   $200 awarded in the form of a gift card to shop at Brookfield Place New York and one (1) physical copy of the digital cookbook, “Bite Sized: A Taste of NYC’s Culinary Favorites,” with an approximate retail value (“ARV”) of $200 Gift card valid from August 31, 2020 until December, 2025. The Total ARV of all Prizes is $300.00 USD.

Each Winner is solely responsible for any applicable federal, state, and local taxes and all unspecified expenses or fees associated with prize acceptance, receipt and use. No substitution, assignment, or transfer of prize permitted, except by Sponsor, who reserves the right to substitute prize/prize component with another prize/prize component of equal value if advertised prize/prize component cannot be awarded as stated for any reason. Prize cannot be redeemed or exchanged for cash by any winner.

General Conditions:

Sponsor reserves the right to cancel or modify the Promotion if fraud, technical failures, or any other factor beyond its control impairs the integrity of the Promotion, as determined by Sponsor in its sole discretion.

In such event, the winners will be selected via random drawing comprised of all eligible Entries that are not affected by the problem (if possible) or by some other means deemed by the Administrator, in its reasonable discretion, to be fair and appropriate.  Administrator reserves the right, in its sole discretion, to disqualify any individual it determines, in its sole discretion, to be tampering with the entry process or the operation of this Promotion or to be acting in violation of these Official Rules or in a disruptive manner. Any attempt by any person to deliberately damage any website related to the Promotion or undermine the legitimate operation of this Promotion may be a violation of criminal and civil laws and, should such an attempt be made, Sponsor and Administrator each reserve the right to seek damages from any such person to the fullest extent permitted by law (as well as disqualifying such individual, if appropriate).  Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Limitations of Liability:

Sponsor, Administrator, their respective partners and agencies, (collectively, “Released Parties”) are not responsible for the entrant and the entrant hereby releases the Released Parties from any claims arising from: (1) incorrect or inaccurate transcription of entry information or lost, stolen, illegible, inaccessible, corrupted, incomplete, misdirected entries, postage due mail, or entries received through impermissible or illegitimate channels, all of which are void and will be disqualified; (2) technical failures of any kind, including but not limited to the malfunctioning of any telephone, mobile device, computer, network, hardware, or software (this also includes the inability of Sponsor and Administrator to receive photos/entries due to filtering by Instagram and the inability of @BFPLNY to contact potential winner via direct message); (3) the unavailability or inaccessibility of any website or any other service; (4) unauthorized human intervention in any part of the entry process or the Promotion and/or incomplete or inaccurate information being displayed on any website whether due to unauthorized human intervention, equipment failure or malfunction, or other cause; (5) electronic or human error which may occur in the administration of the Promotion or the processing of submitted entries; or (6) any injury or damage to persons or property, including but not limited to an individual’s computer or mobile device (or any information/materials stored thereon), which may be caused, directly or indirectly, in whole or in part, by participation in the Promotion.

Disputes / Choice of Law:

To the fullest extent permitted by law, the entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this contest or the award of the prize shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts located in New York, New York (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees; and (3) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, “Special Damages”), and (4) you hereby waive all rights to claim Special Damages and all rights to have such damages multiplied or increased.  The internal, substantive law of New York governs the contest and all aspects related thereto including construction, validity, interpretation, and enforceability of these Official Rules. By participating in the contest, you agree to submit to the personal and exclusive jurisdiction of the courts located in New York, New York.
